This Membership Agreement (“Agreement”) is entered into by and between Gaines Digital Ventures, LLC d/b/a Restate Social (“Company,” “we,” or “us”) and you (“Member” or “you”), and governs your paid membership to the Restate Social digital membership program offered through www.restatesocial.com and any subdomains (the “Website”).
This Agreement works together with, and is in addition to, the Website’s Terms & Conditions of Use, Privacy Policy, and Disclaimer, each of which continues to apply to your use of the Website generally. Where this Agreement speaks specifically to the membership itself — fees, billing, cancellation, and your license to use the templates and content — this Agreement controls on those points. By enrolling in the membership and submitting payment, you accept and agree to be bound by this Agreement, without modification.
1. Membership Description
The Restate Social membership is a paid, recurring digital subscription that provides Members with done-for-you marketing materials for real estate professionals, including Canva social media templates, email newsletters, content calendars, lead magnets, and print marketing materials (collectively, the “Content”). Content is delivered digitally on a monthly basis through the Company’s membership platform, currently MemberSpace. The specific mix and volume of Content made available in a given month is set by the Company and may change from time to time as the Company updates and improves the membership.
2. Eligibility
You must be at least 18 years of age and have the authority to enter into this Agreement to become a Member. Membership is intended for real estate professionals and others using the Content for legitimate business marketing purposes. Each membership is for a single individual account. You may not share your login credentials with any other person or entity, and you are responsible for all activity that occurs under your account.
3. Fees, Billing, and Automatic Renewal
Your membership fee is the recurring subscription price displayed on the Website at the time you enroll, billed automatically to the payment method on file through the Company’s payment processor, currently Stripe, on a recurring monthly basis (or such other billing interval as is disclosed to you at signup).
Your membership automatically renews at the end of each billing period and you will continue to be charged the then-current membership fee until you cancel in accordance with Section 4. By enrolling, you expressly authorize the Company to charge your payment method on a recurring basis for each renewal period on this disclosed basis.
If the Company changes the membership fee, the Company will provide you with advance notice before the new fee applies to your next renewal. Continuing your membership after that notice constitutes your acceptance of the new fee.
If the Company ever offers a membership term of twelve months or longer, the Company will provide the additional advance renewal notice required for longer-term service contracts under applicable Florida law before that renewal occurs.
4. Cancellation
You may cancel your membership at any time. Cancellation takes effect at the end of your current billing period, and you will retain access to that period’s Content through the end of the period already paid for. The Company does not provide refunds or credits for partial billing periods except where required by law.
You may cancel through the same self-service method available in your account dashboard that you used to sign up, or by emailing hello@restatesocial.com. The Company will make cancellation available in a manner no more difficult than enrollment.
5. License to Use Content
Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Content solely for your own real estate marketing business, for so long as your membership remains active. You may not resell, redistribute, sublicense, or share the Content, in whole or in part, with any other individual, business, or brand outside your own, whether or not that person or entity is also a paying Member, and you may not use the Content to create a competing template, coaching, or membership product.
Your license to download new Content ends when your membership ends, whether by cancellation or termination. Content you already downloaded and put into use in your own marketing, such as a social media post already published using a Restate Social template, before your membership ended, may continue to be used and displayed as originally published. This Agreement does not require you to take down or stop using Content you already published while your membership was active, but you may not continue to download, distribute, or license the underlying template files themselves once your membership ends.
6. Ownership
The Company retains all right, title, and interest in and to the Content and the Restate Social membership platform, including all associated intellectual property rights. Nothing in this Agreement transfers any ownership interest in the Content to you. Your rights are limited to the license described in Section 5.
7. Member Conduct
You agree not to scrape, systematically download, or otherwise attempt to bulk-extract Content from the Website, and not to circumvent or assist others in circumventing the Company’s membership paywall or account restrictions. The Company may investigate and take appropriate action, including suspension or termination under Section 8, if it reasonably believes you have violated this Section.
8. Suspension and Termination by the Company
The Company may suspend or terminate your membership, with or without notice, if you breach this Agreement, including by sharing your account, redistributing Content in violation of Section 5, or engaging in a chargeback or payment dispute without first contacting the Company. Termination for breach does not entitle you to a refund of fees already paid.
9. No Guarantee of Results
The membership provides templates, systems, and educational Content intended to help you stay visible and generate more referrals as a real estate professional. As explained in the Website’s Disclaimer, which is incorporated into this Agreement by reference, the Company does not guarantee any specific business result, including any particular level of visibility, referrals, leads, or income, and your results will depend on your own market, effort, and circumstances.
10. Relationship to Other Website Policies
This Agreement supplements, and should be read together with, the Website’s Terms & Conditions of Use, Privacy Policy, and Disclaimer. Those documents continue to govern matters not specifically addressed in this Agreement, including your submissions to the Website, the Company’s intellectual property generally, and the Company’s collection and use of your personal information. If a provision of this Agreement conflicts with those documents on a matter specific to your membership, fees, or license to use Content, this Agreement controls.
11. Disclaimer of Warranties; Limitation of Liability
The membership and the Content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your membership or use of the Content, and the Company’s total liability to you under this Agreement will not exceed the total membership fees you paid to the Company in the twelve months before the claim arose.
12. Governing Law; Dispute Resolution
This Agreement is governed by the laws of the State of Florida, and any dispute arising under this Agreement must be filed exclusively in the courts located in Volusia County, Florida, consistent with the Website’s Terms & Conditions. Before pursuing litigation or any other remedy, you and the Company agree to attempt in good faith to resolve any dispute through mediation.
13. Changes to This Agreement
The Company may update this Agreement from time to time. The “Last updated” date at the top of this Agreement reflects the most recent revision. Changes are effective upon posting to the Website, and your continued membership after a change is posted constitutes your acceptance of the revised Agreement.
14. Notices
The Company may provide any notice required under this Agreement, including notice of a fee change or a change to this Agreement, to the email address on file for your account, or by posting on the Website. Notices are effective when sent to that email address or when posted, whichever applies. It is your responsibility to keep the email address on your account current.
15. Assignment
The Company may assign this Agreement, including in connection with a sale or transfer of the Restate Social business, without your consent. You may not assign this Agreement or your membership to any other person or entity.
16. Entire Agreement; Severability
This Agreement, together with the Terms & Conditions of Use, Privacy Policy, and Disclaimer, constitutes the entire agreement between you and the Company regarding your membership and supersedes any prior understanding on that subject. If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.
17. Acceptance
By enrolling in the Restate Social membership and submitting your payment information, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
